Quotations are valid for the period stated in the quotation and may otherwise be amended or withdrawn before acceptance.

A contract becomes binding when:

• the Seller issues an Order Confirmation;
• the Customer accepts the Seller's quotation;
• the Seller accepts the Customer's purchase order; or
• production or procurement is commenced following the Customer's written approval.

The Seller's Order Confirmation takes precedence over the Customer's purchase order in the event of inconsistency.

Any purchasing terms, standard conditions or other terms issued by the Customer shall apply only if expressly accepted in writing by Compocentra AB.

These Terms may be incorporated into a contract by reference or hyperlink in quotations, Order Confirmations, pro forma invoices, invoices or other commercial documentation.

Unless expressly stated otherwise:

• prices exclude VAT;
• freight, unloading, customs duties, import charges and similar costs are excluded;
• special packaging, special lengths, colours, tooling and project-specific requirements may be charged separately.

Prices are based on the quantities, specifications and delivery conditions stated in the relevant quotation.

The Seller reserves the right to correct obvious clerical, typographical or calculation errors.

Binding Orders

A confirmed order is binding upon the Customer.

The Customer has no contractual right to cancel, reduce, suspend or materially amend a confirmed order without the Seller's prior written approval.

Made-to-Order Products

Products manufactured, purchased, processed or prepared specifically for a Customer or project are considered Made-to-Order Products.

These include, without limitation:

• special colours;
• customer-selected or project-specific colours;
• special lengths;
• non-standard dimensions;
• customised profiles;
• customer-specific surface finishes;
• private-label Products;
• special packaging;
• project-specific production batches; and
• Products manufactured according to Customer drawings, specifications or approvals.

Once production, raw-material procurement, colouring, profiling, processing, finishing or other customer-specific preparation has commenced, the order is binding and may not be cancelled without the Seller's express written approval.

The fact that Products have not yet been delivered does not give a business Customer a right to cancel the order.

Where a Customer nevertheless cancels, refuses delivery or fails to complete a confirmed order, the Seller may recover, to the extent permitted by law:

• Products already manufactured;
• materials purchased or committed;
• manufacturing and processing costs;
• subcontractor costs;
• freight cancellation charges;
• storage and handling costs;
• administrative costs;
• loss of margin; and
• other losses directly resulting from the Customer's breach.

Where customer-specific Products cannot reasonably be resold or reused, the Customer may remain liable for the full outstanding Contract price, subject to applicable law.

Advance payments and deposits relating to Made-to-Order Products are non-refundable to the extent required to cover the Seller's costs, commitments and recoverable losses.

Green Plank Products are composite products manufactured using polymers, natural fibres, pigments and functional additives.

Due to the nature of the materials and manufacturing process, reasonable variations may occur between samples, production batches and finished Products, including variations in:

• colour and shade;
• surface texture;
• grain or brushing;
• gloss;
• pigmentation;
• fibre appearance;
• dimensions;
• weight and density.

Such reasonable variations are inherent characteristics of composite materials and do not by themselves constitute defects.

Product dimensions are subject to normal manufacturing tolerances.

Composite Products naturally expand and contract with changes in temperature and environmental conditions. Installation must therefore allow for appropriate expansion, ventilation and drainage.

Where uniform appearance is particularly important, the Customer should order the complete project quantity together and, where practical, from the same production batch.

Green Plank may provide samples to architects, consultants, contractors, developers, distributors, resellers and other prospective customers for evaluation and specification purposes.

Small Samples

Standard small Product samples may normally be supplied free of charge, subject to availability and reasonable quantities.

The Seller reserves the right to limit the number, size and frequency of complimentary samples.

Large or Project Samples

Larger Product samples, full-length boards, project mock-up material or other substantial samples may be supplied at:

50% of the applicable Product/sample cost plus packing and shipping charges, unless otherwise agreed in writing.

Sample charges and freight are non-refundable unless expressly agreed otherwise.

Sample Representation

Samples are provided to demonstrate the general:

• colour;
• profile;
• texture;
• surface finish;
• dimensions; and
• material appearance

of a Product.

A sample is representative rather than an absolute colour or appearance guarantee.

Due to natural fibre content, pigmentation and normal batch variation, Products subsequently manufactured may vary reasonably from an earlier sample.

Where exact project approval is required, the Customer should request a production-batch sample or written specification before placing the final order.

Samples remain subject to Green Plank's intellectual property rights and may not be represented as products manufactured by another supplier.

Production and delivery dates are estimates unless expressly confirmed in writing as fixed dates.

Lead times normally commence once the Seller has received all information necessary to manufacture or supply the Products, including where applicable:

• final quantities;
• Product specifications;
• colour approval;
• dimensions;
• drawings;
• delivery information; and
• agreed advance payment.

Changes requested by the Customer may result in additional costs and revised delivery times.

Partial deliveries may be made where commercially reasonable unless otherwise agreed.

Where an Incoterms® rule is specified in the quotation or Order Confirmation, it shall be interpreted according to Incoterms® 2020.

Risk transfers in accordance with the agreed delivery term.

Unless expressly agreed otherwise, unloading at the destination is the Customer's responsibility where the applicable delivery term places unloading responsibility on the Customer.

Additional costs resulting from waiting time, unsuccessful delivery, restricted site access, incorrect delivery information or failure to provide unloading facilities may be charged to the Customer.

The Customer shall inspect Products promptly upon delivery.

Visible transport damage, missing goods, quantity discrepancies or visible defects should be recorded on the delivery or transport document before acceptance wherever reasonably possible.

For business Customers, visible defects or discrepancies must normally be notified to the Seller in writing within seven (7) calendar days of delivery.

Latent defects must be reported promptly after discovery.

Claims should include sufficient information to identify and assess the issue, including where appropriate:

• invoice or order number;
• Product identification;
• batch information;
• photographs;
• quantities affected; and
• description of the alleged defect.

Products showing an obvious defect should not be cut, drilled, processed or installed before the Seller has been given an opportunity to inspect the claim.

Installation of Products with defects that were reasonably visible before installation may affect claims for labour, removal, installation or consequential costs.

Products must be stored, handled and installed in accordance with Green Plank's applicable technical documentation and installation instructions.

Unless expressly agreed otherwise, the Customer, architect, engineer, contractor or installer remains responsible for:

• Product suitability for the intended application;
• structural design;
• supporting construction;
• joist spacing;
• ventilation;
• expansion gaps;
• drainage;
• fixing systems;
• compliance with applicable building regulations; and
• project-specific engineering requirements.

Green Plank composite profiles must not be treated as structural load-bearing components unless specifically approved for such use in the relevant technical documentation.

Advice provided by the Seller based on information supplied by the Customer does not replace professional project design or engineering where such services are required.

Payment shall be made according to the terms stated in the quotation, Order Confirmation or invoice.

The Seller may require advance payment, deposit, payment before dispatch or other reasonable payment security.

Late payments are subject to default interest in accordance with the Swedish Interest Act (Räntelagen), together with applicable reminder, collection and enforcement costs.

The Seller may suspend production, withhold delivery or suspend further orders where payments are overdue or where there are reasonable concerns regarding the Customer's ability to pay.

Products may not be returned without the Seller's prior written approval.

Made-to-Order Products, special colours, special lengths, custom profiles and other customer-specific Products are non-returnable except where the Customer has a valid legal or contractual defect claim.

Any acceptance of a return is specific to that transaction and does not establish a general right of return.

Where a Product is covered by a separate Green Plank Product Warranty, that warranty applies according to its stated conditions.

Any warranty is subject to correct:

• transport;
• storage;
• handling;
• installation;
• use; and
• maintenance.

Warranty or defect claims do not cover damage caused by improper installation, unsuitable supporting structures, incorrect spacing, insufficient expansion allowances, misuse, impact damage, incompatible materials, abnormal loads or failure to follow applicable Green Plank instructions.

Where a valid Product defect is established, the Seller shall be given a reasonable opportunity to inspect the Products and determine an appropriate remedy.

For business Customers, the Seller may, where appropriate, repair, replace or credit the affected Products.

To the maximum extent permitted by applicable law, Compocentra AB shall not be liable for indirect or consequential losses, including:

• loss of profit;
• loss of revenue;
• loss of contracts;
• business interruption;
• loss of anticipated savings;
• project-delay penalties; or
• other consequential economic loss.

Unless liability cannot lawfully be limited, the Seller's aggregate liability relating to defective Products shall not exceed the net purchase price of the Products giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be excluded or limited.

The Seller shall not be liable for delay or failure caused by circumstances beyond its reasonable control, including:

• war or civil disturbance;
• government restrictions;
• sanctions;
• strikes;
• fire or flood;
• severe weather;
• transport disruption;
• port disruption;
• energy shortages;
• machinery failure;
• raw-material shortages;
• supplier interruption;
• epidemic or pandemic;
• cyberattack; or
• similar circumstances outside the Seller's reasonable control.

Delivery and performance obligations shall be extended for the duration of such circumstances.

The Green Plank name, trademarks, Product names, designs, drawings, technical documentation, photographs, catalogues, Product concepts and other intellectual property remain the property of Compocentra AB or the respective rights holder.

Providing samples, quotations, drawings or technical information does not transfer intellectual property rights to the Customer.

Green Plank marketing material may only be used by authorised resellers and partners for the legitimate promotion of genuine Green Plank Products.

These Terms and all B2B contracts with Compocentra AB shall be governed by Swedish law.

Unless expressly agreed otherwise, the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

Any dispute that cannot be resolved through good-faith negotiation shall be determined by the competent Swedish courts, with Malmö District Court (Malmö tingsrätt) as the court of first instance.

Nothing in these Terms shall exclude or restrict rights or liabilities that cannot legally be excluded or restricted.

Where a Customer qualifies as a consumer, mandatory Swedish or applicable EU consumer legislation shall prevail over any conflicting provision in these Terms.

In the event of conflict, the following order shall apply:

• separately signed agreement;
• Seller's Order Confirmation;
• accepted quotation;
• agreed Product or project specification;
• these Terms.

The version of these Terms applicable to an order is the version incorporated into or made available in connection with the relevant quotation, Order Confirmation or contract.
