Terms & Conditions
Green Plank® – Compocentra AB
These Terms & Conditions ("Installer Terms") govern participation in the Green Plank Certified Installer Programme, Green Plank Academy, Installer Network and public Find Builder/Installer Directory operated by Compocentra AB, Sweden ("Green Plank").
These Terms apply to:
- carpenters, contractors, builders, installation companies and other professionals applying for or participating in the Green Plank Installer Programme ("Installer"); and
- homeowners, consumers, businesses, architects, developers and other persons using Green Plank's installer information or directory to identify an Installer ("Customer").
PART A – INSTALLER PROGRAMME
Application and Approval
Submitting an Installer application does not automatically create approved or certified status.
Green Plank may review an applicant's:
- identity and company information;
- professional experience;
- geographical service area;
- relevant trade experience;
- previous projects;
- references;
- insurance;
- qualifications; and
- other information reasonably relevant to the programme.
Green Plank may approve, decline, suspend or request additional information regarding an application at its discretion.
Approval to enter the programme does not itself constitute certification.
Green Plank Academy and Certification
To achieve Green Plank Certified Installer status, an Installer must complete the training, courses, examinations, quizzes, practical requirements or other criteria specified by Green Plank for the relevant certification level.
Green Plank may establish different certification levels for products or applications, including decking, cladding, fencing and other Green Plank systems.
Passing the required assessment confirms that the Installer has demonstrated knowledge of specified Green Plank products and Green Plank installation principles at the time of assessment.
Certification does not constitute:
- a governmental trade licence;
- independent professional accreditation;
- structural-engineering certification;
- building-control approval;
- certification of the Installer's entire business;
- verification of every employee or subcontractor;
- a guarantee of workmanship;
- a guarantee of future project performance; or
- a warranty by Compocentra AB regarding an individual installation.
Certification is product-specific training recognition issued by Green Plank.
Continuing Technical Responsibility
Green Plank products, specifications and installation instructions may develop over time.
Certified Installers are responsible for ensuring that they use the current Green Plank technical documentation and installation instructions applicable at the time of each project.
Green Plank may require:
- refresher training;
- updated examinations;
- additional product modules;
- renewed certification;
- evidence of continuing competence; or
- acknowledgement of revised installation requirements
as a condition for maintaining active Certified Installer status or public directory listing.
An earlier course, document or training presentation must not be relied upon where Green Plank has issued updated technical instructions.
Nature and Limitations of Training
Green Plank Academy provides product-specific technical information and training intended to improve understanding of the correct use and installation of Green Plank products.
Training cannot cover every possible:
- construction;
- building;
- site condition;
- substrate;
- foundation;
- load condition;
- climate;
- drainage situation;
- building regulation;
- engineering requirement; or
- project-specific circumstance.
The Installer remains responsible for applying professional judgement to each individual project.
Where structural engineering, architectural design, fire design, building approval or another specialist assessment is required, the Installer must obtain appropriate professional advice.
Independent Contractor
Every Installer participating in the programme operates as an independent business.
Nothing in the Installer Programme creates:
- employment;
- commercial agency;
- partnership;
- franchise;
- joint venture;
- subcontracting relationship with Compocentra AB; or
- authority to act on behalf of Green Plank.
The Installer has no authority to:
- enter into contracts on behalf of Green Plank;
- bind Compocentra AB;
- collect payments on behalf of Green Plank unless expressly authorised;
- provide additional Green Plank warranties;
- make commitments in Green Plank's name; or
- represent itself as an employee, representative or agent of Compocentra AB.
Installer–Customer Contract
Any quotation, order, construction agreement, installation agreement or other contract for installation work is entered into directly between the Installer and the Customer.
Compocentra AB and Green Plank are not parties to that contract.
This remains the case even where:
- Green Plank introduced the Customer to the Installer;
- the Customer found the Installer through greenplank.eu;
- the Installer appears in the Green Plank Find Builder Directory;
- Green Plank forwarded a sales lead;
- Green Plank supplied product samples;
- the Installer holds Green Plank Certified Installer status;
- Green Plank provided technical information;
- Green Plank products are used in the project; or
- Green Plank assisted with general product selection.
The Installer is independently responsible for agreeing with the Customer all matters relating to:
- scope of work;
- quotations;
- price;
- labour charges;
- payment;
- timing;
- project management;
- site preparation;
- additional work;
- cancellation;
- construction;
- completion;
- workmanship guarantees;
- complaints; and
- remedies.
Consumer Contracts
Where an Installer contracts with a consumer, the Installer is independently responsible for complying with all applicable consumer-protection legislation.
For work performed for consumers in Sweden, this may include the Swedish Consumer Services Act (Konsumenttjänstlagen) and other applicable consumer legislation.
The Installer remains responsible for performing its work professionally and in accordance with applicable mandatory requirements.
Green Plank Certified Installer status does not transfer the Installer's legal duties towards the consumer to Compocentra AB.
Any mandatory consumer rights relating to the installation contract are exercised against the Installer or other party legally responsible under the relevant contract and applicable law.
Installer's Responsibility for Construction
The Installer has sole professional responsibility for its workmanship and execution of the installation.
Before starting work, the Installer must assess relevant project conditions, including where applicable:
- foundations;
- ground conditions;
- supporting structures;
- joists;
- structural capacity;
- spans;
- loads;
- ventilation;
- drainage;
- moisture;
- expansion and contraction;
- fixing methods;
- fastening systems;
- product orientation;
- edge distances;
- movement gaps;
- fire requirements;
- accessibility;
- building regulations;
- permits; and
- project-specific drawings and specifications.
The Installer must not rely solely on Green Plank's general installation information where project-specific engineering or professional design is reasonably required.
Building Regulations and Local Requirements
The Installer is responsible for identifying and complying with laws, regulations, standards, permits and authority requirements applicable to the project and location.
Where local building regulations, engineering requirements or authority instructions impose stricter requirements than general Green Plank installation guidance, the applicable mandatory requirement must be followed.
Green Plank technical information does not constitute a building permit, engineering approval or authority approval.
Inspection of Products Before Installation
Installers must inspect Green Plank products before installation.
Products showing reasonably visible:
- damage;
- defects;
- abnormal dimensional variation;
- colour issues;
- transport damage; or
- incorrect specification
should not be installed before the issue has been reported and appropriately assessed.
Installation of products containing defects that were reasonably visible before installation may affect claims relating to labour, dismantling, removal, reinstallation or related costs.
Installer's Employees and Subcontractors
The Installer is responsible for the persons it uses to perform work.
Certified Installer status issued to an individual or company does not automatically certify every employee, subcontractor or third party working for that Installer.
The Installer must ensure that personnel carrying out Green Plank installations:
- have adequate competence;
- have access to current Green Plank instructions;
- understand the applicable installation requirements; and
- are appropriately supervised.
The Installer remains responsible for work performed by its personnel and subcontractors.
Insurance, Registration and Legal Requirements
The Installer is responsible for maintaining all registrations, permissions, tax registrations and insurance reasonably required for its business and the services it provides.
This should include, where applicable:
- business registration;
- applicable tax registration;
- VAT registration;
- contractor liability insurance;
- public liability insurance;
- employer insurance;
- legally required occupational insurance; and
- relevant trade licences or permits.
Green Plank may request evidence of relevant insurance, registration or qualification at any time.
Find Builder Directory
Certified Installers satisfying Green Plank's current listing requirements may be included in the Green Plank Find Builder, Installer Directory or similar referral service.
Green Plank provides this directory as an informational convenience and courtesy to customers seeking professionals familiar with Green Plank products.
Public listing does not constitute a guarantee, warranty or assumption of responsibility for the Installer or its work.
Green Plank does not guarantee:
- the Installer's availability;
- quotations or prices;
- response times;
- financial standing;
- insurance status at every moment;
- suitability for a particular project;
- general construction competence;
- quality of workmanship;
- completion dates; or
- the result of any project.
Information appearing in an Installer profile may be based partly upon information supplied by the Installer.
Leads and Customer Enquiries
Green Plank may forward enquiries or prospective customer leads to Installers.
Green Plank does not guarantee:
- any minimum number of leads;
- that a lead will become a customer;
- the accuracy or completeness of information supplied by a prospective customer;
- project value;
- profitability; or
- payment by the prospective customer.
Any subsequent commercial relationship is independently negotiated between the Installer and Customer.
Use of Green Plank Certification and Brand
While certification remains active, an Installer may describe itself using the designation authorised by Green Plank, such as:
Green Plank Certified Installer
or another designation corresponding to its certification level.
Such designation may only be used in relation to genuine Green Plank products and the applicable certification level.
The Installer may not state or imply that:
- Green Plank owns the Installer's business;
- the Installer is employed by Compocentra AB;
- Green Plank guarantees the Installer's work;
- Green Plank is jointly responsible for the Installer's contracts;
- certification represents governmental or independent accreditation; or
- the Installer has a higher certification level than actually awarded.
Green Plank trademarks, certificates, badges and logos remain the intellectual property of Compocentra AB or the applicable rights holder.
The right to use them is limited, revocable and non-transferable.
Training Materials and Intellectual Property
Course material, videos, examinations, quizzes, technical documents, illustrations, photographs, presentations and other Academy materials are protected intellectual property.
They may be used by the Installer for legitimate training and installation purposes but may not, without permission, be:
- commercially reproduced;
- sold;
- published;
- distributed;
- uploaded to third-party platforms;
- shared as examination answers;
- used to create competing training programmes; or
- materially altered and represented as official Green Plank information.
Attempts to circumvent examinations, share answers or fraudulently obtain certification may result in immediate suspension or removal.
Complaints About Installer Work
Complaints concerning workmanship, installation charges, project delays, construction errors, property damage or contractual disputes must primarily be addressed directly between the Customer and Installer.
Green Plank may, as a courtesy:
- receive information regarding complaints;
- ask the Installer for an explanation;
- review whether programme standards have been followed;
- suspend a listing while serious concerns are investigated; or
- reconsider certification status.
By doing so, Green Plank does not become a party to the Installer–Customer contract and does not assume responsibility for resolving the dispute.
Green Plank is under no obligation to act as arbitrator, mediator, building inspector or claims adjudicator between the Customer and Installer.
Construction Errors and Installer Liability
To the fullest extent permitted by applicable law, Compocentra AB is not responsible for loss, damage, defects or costs arising from:
- defective workmanship;
- incorrect installation;
- inadequate foundations;
- unsuitable substructures;
- incorrect joist spacing;
- structural design errors;
- inadequate ventilation;
- inadequate drainage;
- incorrect expansion gaps;
- incorrect fastening;
- failure to follow technical instructions;
- errors by subcontractors;
- incorrect measurements;
- building-code violations;
- missing permits;
- damage to buildings or property caused during installation;
- project delays;
- incomplete work;
- pricing disputes;
- additional-work disputes; or
- other acts or omissions of an independent Installer.
These matters remain the responsibility of the Installer or other legally responsible project party.
Green Plank Product Responsibility
The distinction between product responsibility and installation responsibility is important.
Green Plank remains responsible for its own products and obligations only to the extent provided by:
- applicable Green Plank Product Warranty;
- the relevant sales contract;
- applicable mandatory product-safety or product-liability law; and
- other applicable mandatory law.
Nothing in these Terms excludes or restricts liability that cannot legally be excluded or restricted.
Green Plank does not assume liability for an Installer's workmanship merely because Green Plank manufactured the products used in the project or certified the Installer's product-specific training.
Likewise, an Installer is not responsible for a manufacturing defect solely because the Installer fitted the affected product, except to the extent the Installer knew or reasonably should have recognised the issue and applicable law provides otherwise.
No Guarantee Created by Certification
Green Plank certification is intended to demonstrate completion of Green Plank product training.
It is not a guarantee to the Customer that:
- construction will be defect-free;
- a project will meet its budget;
- work will finish by a particular date;
- the Installer will remain solvent;
- the Installer will comply with every contractual obligation;
- every employee has personally completed Green Plank Academy; or
- a particular construction solution is suitable without further professional assessment.
Customers remain responsible for selecting and contracting an Installer appropriate for their individual project.
Installer Indemnity
To the extent permitted by law, the Installer shall indemnify Compocentra AB against reasonable third-party claims, losses, liabilities and costs arising directly from:
- negligent or defective workmanship by the Installer;
- acts or omissions of its employees or subcontractors;
- unauthorised representations made in Green Plank's name;
- misuse of Green Plank trademarks;
- breach of these Installer Terms;
- violation of applicable construction requirements; or
- the Installer's breach of its contract with a Customer.
This indemnity does not apply to the extent a claim results from a defect in a Green Plank product or another matter for which Compocentra AB is itself legally responsible.
Suspension and Withdrawal of Certification
Green Plank may suspend or withdraw certification or directory listing where reasonable grounds exist, including:
- serious or repeated customer complaints;
- evidence of unsafe work;
- repeated failure to follow current installation instructions;
- misleading use of certification;
- misuse of trademarks;
- false information provided during application;
- fraudulent examination activity;
- lack of legally required business registration or insurance;
- conduct materially damaging to customers or the Green Plank brand; or
- serious breach of these Terms.
Green Plank may request information necessary to investigate such matters.
Where appropriate, the Installer may be given an opportunity to respond or correct the issue before final removal.
For serious safety, fraud or brand-protection concerns, Green Plank may suspend listing immediately while the matter is reviewed.
Effect of Termination or Loss of Certification
When certification expires, is withdrawn or the Installer leaves the programme, the Installer must stop presenting itself as an active Green Plank Certified Installer.
Green Plank may remove the Installer from its directory and Partner Portal.
The Installer must stop using certification badges or materials suggesting current authorised status.
Termination does not affect obligations relating to:
- previous customer contracts;
- confidentiality;
- intellectual property;
- completed projects;
- outstanding claims; or
- liabilities arising before termination.
PART B – CUSTOMERS, HOMEOWNERS AND CONSUMERS
Purpose of the Installer Directory
The Green Plank Installer Directory is provided to help customers locate independent professionals who have completed specified Green Plank product training.
The directory is provided as a convenience and courtesy.
A public listing does not mean that Compocentra AB:
- employs the Installer;
- controls the Installer's business;
- determines the Installer's prices;
- supervises the Installer's construction work;
- enters into the installation contract;
- receives payment for the Installer's work;
- guarantees the Installer; or
- assumes responsibility for the installation.
Customer Due Diligence
Customers should independently evaluate an Installer before entering into a contract.
Depending on the project and country, customers should consider checking:
- company registration;
- tax registration;
- liability insurance;
- relevant licences;
- previous projects;
- references;
- written quotation;
- scope of work;
- payment conditions;
- schedule;
- workmanship warranty;
- responsibility for materials; and
- applicable consumer protections.
Green Plank certification should be considered one element of this assessment rather than a substitute for normal contractor due diligence.
Customer Contract
The Customer should enter into a clear written agreement directly with the Installer.
The agreement should identify, where relevant:
- contractor identity;
- scope of work;
- products and quantities;
- price;
- start and completion dates;
- payment schedule;
- ground and substructure work;
- removal or disposal work;
- responsibility for additional work;
- responsibility for permits;
- warranty;
- handling of changes; and
- complaint procedures.
Compocentra AB is not responsible for negotiating, approving or enforcing such contract.
Payments
Unless Compocentra AB has expressly agreed otherwise in writing for a specific transaction, payment for installation services is made directly between Customer and Installer.
Customers should not assume that an Installer is authorised to collect money on behalf of Green Plank.
Likewise, payment made to an Installer for installation does not constitute payment to Compocentra AB.
Complaints and Disputes
A Customer with a complaint concerning:
- workmanship;
- labour charges;
- delay;
- damage caused during construction;
- incomplete work;
- additional charges;
- installation errors; or
- another aspect of the installation contract
should address the matter directly with the Installer.
A genuine suspected Green Plank product defect should be reported through the applicable seller, warranty process or Green Plank product-support channel as appropriate.
Green Plank may consider information regarding an Installer's conduct when deciding whether certification or listing should continue, but such review does not transfer the Installer's contractual liability to Green Plank.
Mandatory Consumer Rights
Nothing in these Terms is intended to remove mandatory rights that a consumer has under applicable law.
For Swedish consumer installation contracts, the Swedish Consumer Services Act may apply to work performed by a business on buildings, land and other fixed property.
The contractor's legal obligations to the consumer remain the contractor's responsibility.
Any limitation in these Terms concerning Compocentra AB applies only to the extent permitted by mandatory law.
PART C – GENERAL PROVISIONS
Data Protection
Compocentra AB processes Installer application information, certification records, directory profiles, customer enquiries and related personal data in accordance with the Green Plank Privacy Policy and applicable GDPR requirements.
Installers receiving customer leads are independently responsible for processing customer personal data lawfully and securely.
Changes to the Programme
Green Plank may reasonably change:
- training content;
- certification levels;
- examinations;
- technical requirements;
- directory requirements;
- Partner Portal functions;
- branding;
- programme benefits; and
- these Installer Terms.
Material changes affecting active Installers will be communicated where appropriate before they take effect.
Changes do not retrospectively make Compocentra AB a party to any Installer–Customer contract.
Governing Law – Installer Relationship
The relationship between Compocentra AB and an Installer under the Green Plank Certified Installer Programme shall be governed by Swedish law, unless mandatory law requires otherwise.
Disputes between Compocentra AB and a business Installer arising from the programme shall be submitted to the competent Swedish courts, with Malmö District Court (Malmö tingsrätt) as the court of first instance unless otherwise agreed in writing.
The separate contract between an Installer and its Customer is not governed by this clause. Its governing law and jurisdiction are determined by their own agreement and applicable law.
Mandatory Law and Severability
Nothing in these Terms excludes or restricts liability that cannot legally be excluded or restricted.
If a provision is invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.
